1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Fleetiqo ("Company," "we," "our," or "us") governing your access to and use of the Fleetiqo fleet management software platform and all related services, features, content, and applications (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. Description of Services

Fleetiqo provides a comprehensive fleet management software platform designed for Turo rental agencies and private hosts. Our Services include, but are not limited to:

  • Automated synchronization with Turo rental platform
  • Vehicle inventory management and tracking
  • Income and expense tracking
  • Maintenance scheduling and reminders
  • Financial analytics and reporting
  • Document storage and management
  • Calendar integration and booking management
  • Market value tracking and vehicle valuations
  • Safety recall monitoring
  • Multi-language support

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

4. Account Registration and Security

4.1 Account Creation

To access our Services, you must create an account by providing accurate, complete, and current information, including your name, email address, company name, and payment details.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information remains accurate and up-to-date

We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.3 Account Termination

You may terminate your account at any time through your account settings or by contacting us. We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

5. Subscription and Payment Terms

5.1 Subscription Plans

Our Services are provided on a subscription basis. Current pricing is $39 per month for the Professional Plan, which includes unlimited vehicles and all features. We offer a 3-day free trial for new users.

5.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred.

5.3 Billing Cycle

Subscriptions are billed monthly on a recurring basis. Your billing cycle begins on the date you subscribe (after the free trial period ends) and renews automatically each month unless canceled.

5.4 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price increases. Continued use of the Services after a price change constitutes acceptance of the new pricing.

5.5 Refund Policy

We offer a 14-day money-back guarantee. If you are not satisfied with our Services within the first 14 days of your paid subscription, contact us at support@fleetiqo.com for a full refund. After 14 days, all payments are non-refundable.

5.6 Failed Payments

If a payment fails, you will have a 4-day grace period to update your payment information. If payment is not received within this period, your account will be suspended, and you will lose access to the Services. Your data will be retained for 30 days, after which it may be permanently deleted.

5.7 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. You will retain access to the Services until the end of the paid period. No refunds are provided for partial months.

6. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Services for any fraudulent, abusive, or illegal activities
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Transmit viruses, malware, or other harmful code
  • Scrape, crawl, or use automated tools to access the Services without permission
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Remove or modify any proprietary notices or labels
  • Use the Services to compete with us or develop competing products
  • Share your account credentials with others or allow multiple users to access a single account

Violation of this Acceptable Use Policy may result in immediate termination of your account.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Services, including all content, features, functionality, software, code, designs, graphics, logos, and trademarks, are owned by Fleetiqo and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

7.3 Your Content

You retain ownership of all data, information, and content you upload to the Services ("Your Content"). By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely to provide and improve the Services.

7.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without any obligation to you.

8. Third-Party Integrations

Our Services integrate with third-party platforms and services, including Turo, Stripe, NHTSA, Kelley Blue Book, and Black Book. Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the availability, accuracy, or functionality of third-party services.

9. Data Privacy and Security

We take data privacy and security seriously. Our collection, use, and protection of your personal information are governed by our Privacy Policy. By using the Services, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers and Limitations of Liability

10.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any errors or defects will be corrected
  • The Services will meet your specific requirements

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLEETIQO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of any third party on the Services
  • Unauthorized access, use, or alteration of your content or data
  • Any interruption or cessation of the Services

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Fleetiqo, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content or any content you submit through the Services

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@fleetiqo.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

12.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California, United States.

12.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Fleetiqo individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12.4 Exceptions

Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any legal action or proceeding (other than arbitration) shall be brought exclusively in the state or federal courts located in California.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending you an email notification
  • Displaying a prominent notice on the platform

Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Services and cancel your account.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fleetiqo regarding the Services and supersede all prior agreements and understandings.

17. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

19. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.
